Description:

Rambus Inc. seeks a motivated, organized, self-starting team player to join its legal team as counsel focused on corporate transactions, licensing, and general corporate matters. Primary responsibilities will include:
Negotiating, drafting, and analyzing licensing, development, and intellectual property agreements to serve Rambus client organizationsReviewing and negotiating confidentiality agreementsAdvising Rambus clients about legal risks, negotiation strategies, and proposed courses of action toMitigating riskRecommending and implementing improvements to forms, processes, and proceduresResponding promptly to legal requests from Rambus client organizationsAdvising Rambus management of recommended courses of action and legal risksSummarizing and communicating legal concepts for use by Rambus staffSupporting the continuous improvement of standard form agreements and legal processesSpecial projects as requested
REQUIREMENTS
Excellent academic credentials1-5 years of transactional licensing experience with major law firm or technology companyDetail oriented with strong drafting and negotiating skills and the ability to communicate legal subject matter to non-attorneysExcellent analytical and problem solving skills, business judgment and strategic legal thinking, and the ability to work with various departments and levels of employees both independently and as part of a teamAbility to manage heavy deal flow independently to meet firm deadlines while achieving business and risk management objectivesIn-depth experience in contract law, with broad transactional background in technology related agreementsFlexibility and willingness to work on a broad variety of legal mattersSuperior English language writing and oral communication skillsSense of humor and commitment to professionalism and collegiality are requiredCalifornia Bar membership
