Corporate Counsel – Contracts
Reports to Deputy General Counsel.

Responsibilities

The Corporate Counsel - Contracts attorney will initially have responsibility for drafting, reviewing and negotiating commercial agreements for MeadWestvaco's Consumer Packaging Solutions Group. Responsibilities are expected to expand to include performing these services on behalf of other MeadWestvaco businesses. The range of commercial agreements includes licensing agreements, distributorship agreements, personal property rental agreements, equipment leases, manufacturing agreements, service agreements, agency and sales rep agreements, warehousing agreements, supply agreements, purchase agreements for goods and services (especially in-plant equipment and machinery).

The Contracts attorney will have responsibility for contracts administration for those contracts under his or her authority and, working with others in the law department, for developing and maintaining an electronic filing system as well as helping establish policies and procedures for law department review of contracts. The Contract attorney will also have responsibility for resolution and negotiation of contract disputes and collection matters (non-litigation).

Qualifications: Minimum 5 years' experience reviewing, drafting and negotiating commercial agreements for a U.S. manufacturing multinational, including strong cross-border sales experience, UCC experience (both for sales and leasing) and in-depth understanding of competition/antitrust issues and intellectual property issues in the context of manufacturing and licensing (support provided by the MWV intellectual property group). Experience with contracts administration/management and electronic filing systems a plus.

The successful candidate must be solutions oriented, and have demonstrated organizational, project management and negotiation skills. Although administrative support will be provided, independent, hands-on proficiency in Word and Excel are required.
